NIIT Ltd. - Announcement under Regulation 30 (LODR)-Scheme of Arrangement

This is in continuation to our earlier intimation dated January 28, 2022 informing that the Board of Directors at its meeting held on January 28, 2022 had approved a Composite Scheme of Arrangement between NIIT Limited and NIIT Learning Systems Limited , a wholly owned subsidiary of the Company and their respective shareholders and creditors as per the provisions of Sections 230-232 and any other applicable provisions of the Companies Act, 2013, the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 and in terms of SEBI Circular No. SEBI/HO/CFD/DIL1/CIR/P/2021/000000065 dated November 23, 2021.\r\n\r\nIn furtherance to our intimation vide letter dated May 31, 2022 regarding receipt of observation letter from BSE Limited, we would like to inform that the Company has received observation letter from National Stock Exchange of India Limited vide its letter dated May 31, 2022. The same is available on the website of the Company.\r\n
